KEDU Terms of Service

These Terms govern institutional access to and use of the KEDU education and student development platform, including school self-onboarding.

Effective: 29 August 2026Version: 2026-08-29Governing law: United Republic of Tanzania
Important: If you accept these Terms on behalf of a school or other institution, you confirm that you are authorized to provide its information and bind the institution to these Terms.

1. Introduction and Acceptance

These Terms of Service (“Terms”) govern access to and use of the KEDU education and student development platform, website, applications, onboarding services and related services (collectively, the “KEDU Services”). They form an agreement between the organization operating KEDU (“KEDU”, “we”, “us” or “our”) and the school, educational institution or other organization accepting them (“School”, “Institution”, “you” or “your”).

By creating an account, completing Self Onboarding, submitting school information, selecting the acceptance checkbox or otherwise using the KEDU Services, you acknowledge that you have read, understood and agreed to these Terms.

2. KEDU Services

KEDU is a student development and educational technology platform. Depending on the implementation, it may provide student learning and development profiles, academic records, teacher observations and pedagogical diaries, student interests and strengths, HomeLearn and personalized activities, AI-assisted educational tools, parent or guardian engagement, development or wellbeing indicators, reporting, analytics and related educational functions.

Available features may vary according to the School’s implementation, subscription and configuration.

3. Authority and Eligibility

The person completing institutional onboarding represents that the information supplied is accurate to the best of their knowledge; that they are authorized to provide it for the School; that they may request establishment of the School on KEDU; and, where accepting these Terms for the School, that they have authority to bind the School. KEDU may request verification before activation.

4. School Onboarding

Schools may submit information concerning their institution, curricula, classes, subjects, teachers, staff, students, parents or guardians and other information needed to configure KEDU. Submission does not itself guarantee activation. KEDU may review the information, request corrections or clarification, verify the School and configure its environment before activation.

The School is responsible for ensuring that submitted information is accurate, complete, relevant and lawfully provided.

5. Accounts and Security

The School is responsible for managing authorized users and safeguarding credentials. Users must not knowingly permit unauthorized access. The School must promptly notify KEDU of suspected unauthorized access, compromised credentials or security incidents. KEDU may reasonably restrict access where necessary to protect students, users, Schools, data or the platform.

6. Personal and Student Data

Use of KEDU may involve processing personal data concerning students, parents, guardians, teachers, staff and other individuals. The School is responsible for ensuring that it has an appropriate lawful basis and any notices, permissions or consents required to provide such information to KEDU.

Where information concerns children or students, the School must ensure that its collection and use complies with applicable law and the School’s responsibilities toward students and their parents or guardians. KEDU will process personal data for purposes associated with providing, securing, maintaining and improving the KEDU Services and as further described in the applicable KEDU Privacy Policy.

7. Sensitive Information

Some implementations may include student health, wellbeing or developmental information. Schools must submit such information only where relevant to legitimate educational or student-development purposes and where legally permitted. Access should be limited to appropriately authorized users.

8. School Responsibilities and Professional Judgment

The School remains responsible for its students, curriculum, teaching, assessments, safeguarding, disciplinary matters and educational decisions. KEDU assists educators but does not replace teachers, school leadership, healthcare professionals or other qualified professionals. Material decisions affecting a student should be reviewed by appropriately qualified people.

9. Artificial Intelligence

KEDU may use artificial intelligence to assist with recommendations, summaries, learning activities, analysis and other educational functions. AI-generated content may contain errors, omissions or unsuitable recommendations. Teachers and other authorized personnel remain responsible for reviewing AI-generated material before assigning it to students or relying upon it for material educational decisions.

10. Acceptable Use

Users must not use KEDU to violate applicable law; access information without authorization; knowingly submit false or misleading information; compromise the security or operation of KEDU; introduce malicious code; access another School’s data without authorization; unlawfully reverse engineer or extract the platform; harass or harm another person; upload unlawful or infringing material; or use student information for unauthorized commercial, advertising or unrelated purposes.

11. Intellectual Property and School Data

The KEDU platform, software, interface, branding, documentation, designs and related intellectual property belong to KEDU or its licensors unless otherwise stated. Schools retain their applicable rights in information and content they lawfully provide. The School grants KEDU the limited rights necessary to host, process, reproduce and use such information to provide and support the Services. Storage on KEDU does not by itself transfer ownership of School data to KEDU.

12. Availability and Changes

KEDU will use reasonable efforts to maintain the Services but cannot guarantee uninterrupted operation. Maintenance, upgrades, telecommunications failures, security incidents, third-party failures or circumstances outside KEDU’s reasonable control may cause interruptions. KEDU may modify or improve features and will use reasonable efforts to communicate material changes affecting use of the Services.

13. Fees and Commercial Terms

Pricing, subscriptions, implementation charges and payment terms for paid Services may be stated in a quotation, order form, subscription agreement or other commercial agreement. Those terms form part of the agreement with the School. If specifically agreed commercial terms conflict with these general Terms, the specifically agreed terms prevail to the extent of the conflict.

14. Confidentiality

KEDU and the School must take reasonable measures to protect confidential information received from each other. Student records and non-public School information must be treated as confidential except where disclosure is authorized, necessary to provide the Services or required by law.

15. Third-Party Services and Data Transfers

KEDU may use third-party cloud infrastructure, communications, artificial intelligence, analytics or other technology providers. Where third parties process personal data for KEDU, appropriate contractual, security and data-protection safeguards should apply. International transfers of personal data, where applicable, will be handled subject to applicable Tanzanian requirements.

16. Retention and Termination

Information may be retained for as long as reasonably necessary to provide the Services, satisfy contractual obligations and comply with applicable legal or regulatory requirements. Following termination, information may be retained where required or permitted for lawful record-keeping, security, dispute resolution or other legitimate purposes and subsequently deleted, anonymized or securely disposed of as appropriate.

17. Suspension and Termination

KEDU may suspend or terminate access for material breach, unpaid applicable fees, material security or legal risk, unlawful use, legal requirements or as otherwise agreed. Where reasonably possible, KEDU will provide notice and an opportunity to remedy a breach before permanent termination.

18. Disclaimer

KEDU is intended to support education and student development. Except to the extent expressly agreed or required by law, KEDU does not warrant that the Services will be error-free, uninterrupted or suitable for every educational purpose. Analytics, recommendations, AI-generated materials and development indicators assist qualified educators and do not replace professional judgment. Nothing in these Terms excludes rights or obligations that cannot lawfully be excluded.

19. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental or consequential loss arising solely from use of the Services. No limitation applies where liability cannot lawfully be excluded or limited. Where a separately executed commercial agreement contains agreed liability provisions, those provisions apply to the relevant paid Services.

20. Electronic Agreement and Records

The parties agree that these Terms may be accepted electronically. Selecting the onboarding acceptance checkbox and proceeding constitutes electronic acceptance on behalf of the School. KEDU may retain reasonable evidence of acceptance, including the accepted Terms version, date and time, School details, representative details and onboarding reference.

21. Changes to These Terms

KEDU may update these Terms to reflect changes to the Services, law, regulation or business requirements. Material changes will be communicated through KEDU or another reasonable method. The effective date and version shown above identify the applicable version.

22. Governing Law and Disputes

These Terms are governed by the laws of the United Republic of Tanzania. The parties will first attempt in good faith to resolve disputes through consultation. If a dispute cannot be resolved amicably, it will be submitted to the courts of competent jurisdiction in Tanzania unless the parties have separately agreed to another lawful dispute-resolution process.

23. Severability

If any provision is held unlawful or unenforceable, it will be enforced to the maximum lawful extent or severed where necessary. The remaining provisions continue in effect.

24. Entire Agreement

These Terms, the applicable KEDU Privacy Policy and any applicable quotation, subscription agreement, order form or other written commercial agreement together govern the relevant KEDU Services.
